
Sr. Manager, Legal Counsel / Investment and Connected Transaction

- Draft and review standard investment contracts which related to the products issued by IAMC, build up investment contract templates
- Liaison and communication with the AIA Investment Legal Centre of Excellence located in Singapore for specialist support and legal risk management for legal documentation related to investment transactions (including traditional and non-traditional assets), derivatives, collateral, clearing, repos, securities lending and custody all within the AIA Investment Governance Framework
- Provide legal opinions in the process of investment projects initiation, review and decision-making, and review related contracts
- Identify key review points, summary the main problems in the actual operation from legal perspective and provide timely feedback
- Responsible for draft legal reports related to debt program, equity program, trust program, etc.
- Take ownership of relevant policies and procedures and ensure the adherence to both regulatory and AIA requirements (including the Policy&Procedures)
- Implement connected transaction related laws and regulations with alignment of AIA Group standards, prepare and maintain connected transaction management policies and procedures
- Collaborate with all business functions, including Investment, Finance, Compliance, Tax & Treasury and in day-to-day management of connected transactions
- Liaise with AIA Group Legal/CoSec team and AIA Life Board Office for connected transaction matters
- Prepare and manage the submission of regulatory reports and external disclosure about connected transactions
- Responsible for the construction, management, optimization and daily maintenance of connected transaction system
- Ensure compliance with corporate governance laws, regulations, and Group requirements; maintain key governance documents (e.g., AOA, Board Charter); conduct regulatory self-assessments
- Manage the operations of Board and Board’s committees including planning/organizing meetings, preparing agendas/minutes/resolutions to ensure regulatory/Group compliance
- Oversee director lifecycle processes (elections, retirements, appraisals, INED talent pool) and facilitate director effectiveness through research, query resolution, and dedicated meetings/workshops
- Facilitate the maintain the communication channel with government and regulators, as well as manage the relationships
- Work closely with investment team and assist the consultation with regulators on investment and connected transaction related subject matters
- Degree in law
- At minimum 5-8 years PQE
- Experience from insurance asset management company or insurance company is required
- In-depth knowledge of local business standards, best practices, external regulations and legal risk management, with a special focus on insurance fund investment or investment management industry
- Proficiency in spoken and written English in order to effectively communicate with multiple stakeholders
