- Governance responsibilities:
- promoting and driving consistent standards for legal entity governance that support the firm's strategic objectives;
- providing directors, supervisor, senior management and legal entities with advice, support and training across corporate governance matters, including in relation to relevant laws and regulations, governance practices and legal entity management; and
- advising and assisting, as appropriate, with local, regional and global projects.
- Board of Directors and Board of Supervisors related matters:
- organizing board of directors and board of supervisors, and board of directors' committee meetings;
- advising on governance matters requiring board of directors' and board of supervisors' attention;
- advising directors on their legal duties and on board of directors governance practices;
- advising supervisors on their legal duties and on board of supervisors governance practices;
- advising on, organizing and implementing director and supervisor orientation and continuing education; and
- advising and assisting with regulatory requirements.
- Legal entity related matters:
- maintaining corporate records and certifications;
- advising on corporate procedures and record retention, as relates to governance matters; and
- advising on inter-affiliate service agreements and managing certain regulatory filings.
- Shareholders related matters:
- organizing shareholders 'meetings; and
- advising on shareholders engagement.
- Other responsibilities required to be performed by the Office of the Secretary from time to time.
- University graduate in Law or related discipline
- Sound knowledge of company law and corporate governance and regulatory framework governing business
- Minimum 10 years of relevant legal, corporate governance or comparable experience
- Fulfilment of all necessary regulatory qualification requirements applicable to the board secretary role of a company
- Experience in regulatory reporting/filing is an advantage
- Ability to work as a collaborative and proactive member of a team
- Must be meticulous, organized and take pride in your work
- Ability to work in a fast-paced environment and within tight deadlines
- Departmental level lead experience and strong interpersonal, presentation and communication skills
- Ability to build good working relationships with multiple stakeholders
- Excellent written and spoken English and Chinese is preferred
